Scout Contribution License Agreement

1. Definitions

• “Contributed Materials” means all photographs, images, location data, notes, GPS data, measurements, documents, and other materials you upload to the CINERA platform.
• “Platform Use” means the display, storage, processing, and sharing of Contributed Materials within the CINERA platform for location scouting, production management, and film commission workflow purposes.
• “Film Commission Look Book Program” means the optional program through which CINERA, in partnership with participating film commissions, selects scout photographs for inclusion in promotional look books, trade show materials, and film commission marketing packages distributed to attract film and television productions to a region.
• “Look Book License” means the separate, opt-in license described in Section 4 of this Agreement authorizing use of specific photographs in Look Book Program materials.
• “Per-Image Fee” means the compensation paid to a Scout for each photograph selected and published under a Look Book License, as communicated to you at the time of selection.

2. Platform License Grant

2.1 Scope of License

By uploading Contributed Materials to the CINERA platform, you grant CINERA a non-exclusive, worldwide, royalty-free license to:

• Host, store, and process your Contributed Materials on CINERA infrastructure and third-party service providers acting on CINERA’s behalf
• Display your Contributed Materials to team members, location managers, assistant location managers, location coordinators, and other production personnel you or your organization invite to collaborate within the platform
• Share your Contributed Materials with productions, film commissions, and property owners as directed by you or your organization through the platform’s sharing and location package features
• Process your photographs using automated image analysis to generate tags, scene attributes, and search metadata for use within the platform
• Cache, resize, and optimize your photographs for display across CINERA’s web and mobile platforms
• Generate vector embeddings from location descriptions and associated metadata to enable semantic search within the platform

2.2 What This License Does Not Include

The Platform License does not authorize CINERA to use your Contributed Materials for external marketing or promotional purposes. Promotional use of your photographs in film commission look books, trade show materials, or other external marketing requires a separate Look Book License under Section 4 of this Agreement, which you must affirmatively opt into.

2.3 Duration

The Platform License remains active while your Contributed Materials are stored in the CINERA platform. When you delete specific materials or close your account, the Platform License for those materials terminates, subject to CINERA’s data retention policy. Materials already included in location packages shared with productions prior to deletion may remain accessible within those packages for the duration of those packages’ active periods.

3. Your Retained Rights

You retain full copyright and ownership of all Contributed Materials. This Agreement does not transfer any ownership or copyright to CINERA. You may continue to use, license, sell, or otherwise exploit your Contributed Materials outside of CINERA without restriction. You may list locations and submit photographs through other platforms simultaneously.

4. Film Commission Look Book Program (Opt-In)

4.1 Program Overview

CINERA partners with participating film commissions to produce look books — curated collections of location photography distributed in digital and print formats at industry trade shows and in production marketing packages. These materials are designed to attract film and television productions to scout specific regions. Participation in the Look Book Program is entirely voluntary and separate from your Platform License.

4.2 Opt-In Consent

CINERA will not include your photographs in any Look Book Program materials without your explicit affirmative consent. Consent is obtained through one or both of the following mechanisms:

• Account-level opt-in: You may enable the Film Commission Look Book Program in your account settings, indicating that CINERA may approach you with individual selection proposals for photographs in your library. Enabling account-level opt-in does not automatically license any photograph — it opens a selection workflow through which specific images are proposed and individually confirmed.
• Per-image confirmation: For each photograph proposed for look book inclusion, CINERA will send you a written notification identifying the specific image, the film commission partner, the publication or material in which it will appear, the proposed Per-Image Fee, and the usage rights being licensed. A Look Book License for that photograph is granted only upon your written confirmation (including through a platform-delivered acceptance workflow).

4.3 Look Book License Terms

Upon your written confirmation of a specific image selection, you grant CINERA and the named film commission partner a non-exclusive license to:

• Reproduce the selected photograph in the specified look book, trade show display material, or film commission marketing package, in digital and/or print form as specified in the selection notice
• Display the selected photograph on the film commission’s official website and social media channels in connection with regional production promotion
• Include the selected photograph in subsequent editions or reprints of the same publication unless you withdraw your consent as described in Section 4.5

The Look Book License does not authorize use of your photograph in any individual production’s marketing materials, advertising campaigns, or any context beyond regional film commission promotional materials.

4.4 Per-Image Fee and Payment

CINERA will pay you a Per-Image Fee for each photograph selected and confirmed under a Look Book License. The applicable fee will be stated in the selection notice provided to you prior to your confirmation. Payment will be issued within sixty (60) days of the confirmed look book’s publication date. CINERA will provide you with sufficient information to comply with any applicable tax reporting obligations.

4.5 Withdrawal of Consent

You may withdraw your consent to future use of a licensed photograph at any time by written notice to CINERA. Withdrawal takes effect for future publications and new print runs. Withdrawal does not require removal of the photograph from materials already printed, distributed, or published at the time notice is received. CINERA will not initiate new look book selections for that photograph after receiving notice.

4.6 Attribution

Where practical and consistent with the look book’s design, CINERA will include an attribution credit to you as the contributing scout photographer. Attribution will be discussed and confirmed with you as part of the per-image selection workflow.

5. Your Representations and Warranties

By uploading Contributed Materials and, where applicable, granting a Look Book License, you represent and warrant that:

• You are the sole author and copyright holder of all Contributed Materials, or you hold valid rights, licenses, or permissions to upload and license those materials under this Agreement
• Your Contributed Materials do not infringe any third party’s intellectual property rights, right of publicity, privacy rights, or any other rights
• Where your photographs depict private property that is identifiable, you have obtained or confirmed that applicable access permissions were in place at the time of capture. You understand that property owners whose properties appear in look book materials are notified of the potential for such use through the CINERA Property Listing Agreement
• Where your photographs depict individuals whose faces or identifying characteristics are visible, you have obtained appropriate model releases or have confirmed that applicable exceptions (public figures in public spaces, incidental inclusion) apply
• You have the authority to enter into this Agreement and grant the licenses described herein
• All metadata, location descriptions, and notes you upload are accurate to the best of your knowledge

6. No AI Training

CINERA will not use your Contributed Materials to train, fine-tune, or develop artificial intelligence or machine learning models. Automated image analysis (such as scene tagging) is performed ephemerally for the purpose of generating metadata and does not constitute AI training. See CINERA’s Privacy Policy §1.5 for the full treatment of AI processing.

7. Indemnification

You agree to indemnify, defend, and hold harmless CINERA, Illuminate Productions Inc., participating film commission partners, and their respective officers, directors, employees, contractors, and agents from and against any claims, actions, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Any breach of your representations, warranties, or obligations under this Agreement
• Any claim that your Contributed Materials infringe any third party’s intellectual property, privacy, or publicity rights
• Any claim arising from unauthorized access to private property depicted in your Contributed Materials
• Any claim that you lacked the rights or permissions to upload, license, or authorize publication of specific photographs

8. Limitation of Liability

To the maximum extent permitted by applicable law, CINERA’s total aggregate liability to you for any claim arising out of or related to this Agreement shall not exceed the total fees paid by CINERA to you under this Agreement in the twelve (12) months immediately preceding the claim. CINERA is not liable for any indirect, incidental, special, consequential, or punitive damages.

9. Term and Termination

This Agreement remains in effect for as long as you maintain an account on the CINERA platform. You may terminate this Agreement at any time by closing your account and deleting your Contributed Materials. Termination does not affect any Look Book Licenses already confirmed and published prior to the date of termination. Sections 3, 5, 7, 8, and 10 survive termination.

10. General Provisions

10.1 Governing Law

This Agreement is governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any dispute arising out of this Agreement shall be subject to the exclusive jurisdiction of the courts of the Province of Alberta.

10.2 Entire Agreement

This Agreement, together with CINERA’s Terms of Service and Privacy Policy, constitutes the entire agreement between you and CINERA with respect to your Contributed Materials and supersedes all prior agreements relating to its subject matter.

10.3 Changes to This Agreement

CINERA may update this Agreement from time to time. For material changes, we will provide at least 30 days’ written notice by email and by updating the version number and effective date at the top of this page. Your continued use of the platform after a material change takes effect constitutes acceptance of the updated Agreement.

10.4 Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

10.5 Language

The parties have expressly requested that this Agreement and all related documents be drafted in English. Les parties ont expressément demandé que la présente entente et tous les documents connexes soient rédigés en anglais.
